By using Tessara (tessara.trade), you agree to these Terms of Service.
1. Description of Service
Tessara is a configurable grid trading automation software tool. It executes trades strictly based on the parameters and guardrails you define. Tessara LLC is not an investment advisor, does not provide trading signals or recommendations, and does not manage assets on your behalf.
2. User Responsibilities
- All trading decisions and parameter configuration
- Setting and maintaining appropriate risk guardrails
- Monitoring your positions and account activity
- Understanding cryptocurrency market risks
- Acknowledging any new capital deposits before they are deployed
3. Nature of Service — Pure Software / No Advisory Relationship
3.1 Software Only. Tessara LLC provides software that automates the execution of user-defined trading rules on supported cryptocurrency exchanges. Tessara is not a broker-dealer, investment adviser, commodity trading adviser, or financial institution of any kind. Tessara does not provide investment advice, trading recommendations, or financial guidance.
3.2 User-Controlled Parameters. Every parameter, threshold, multiplier, and constant that influences any trading decision executed by the Software is visible to and adjustable by the User. No trading-relevant logic is hidden from the User. A complete reference of all parameters is available at /docs/parameters. The User acknowledges that they have reviewed, understand, and have set or accepted the default values of all parameters prior to enabling automated trading.
3.3 No Discretionary Authority. Tessara has no discretionary authority over User assets. All actions taken by the Software are mechanical execution of rules the User has configured. The User retains full custody of their assets on the Exchange at all times.
3.4 User Responsibility. The User is solely and entirely responsible for all trading outcomes resulting from the parameters they have set or accepted as defaults. The User acknowledges that default parameter values are starting points based on historical analysis and are not guarantees of performance.
3.5 Audit Trail. Tessara maintains an immutable audit log of all parameter changes within each user account. This log is available to the User at all times. The existence of this log confirms that the Software acted only in accordance with User-set rules.
4. Performance Fee
Fee Structure: Tessara charges a 10% performance fee on net realized profit from bot-completed trade cycles, capped at $125/month. There is no minimum fee. Months with no net realized profit are charged $0. Open positions and unrealized gains or losses are never included. A 14-day free trial is provided at account creation with no payment required. The fee structure may be updated with 30 days written notice.
4. API Keys and Authorization
You grant Tessara LLC limited permission to execute trades using the API keys you provide. You may revoke this permission at any time in your Coinbase account.
5. Risk of Loss
Cryptocurrency trading involves a high risk of loss. You may lose some or all of your invested capital. Tessara LLC provides no guarantees of profit or performance.
6. No Warranties
The service is provided “AS IS” and “AS AVAILABLE” without any warranties, express or implied.
7. Limitation of Liability
To the maximum extent permitted by law, Tessara LLC and its owners shall not be liable for any trading losses, lost profits, or any indirect, incidental, special, consequential, or punitive damages.
8. Indemnification
You agree to indemnify and hold harmless Tessara LLC from any claims, damages, losses, or liabilities arising from your use of the service or breach of these terms.
9. Termination
We may suspend or terminate your access at any time. You may stop using the service at any time by revoking your API keys.
10. Dispute Resolution
Any dispute arising under these terms shall be resolved by binding arbitration in South Carolina in accordance with the rules of the American Arbitration Association.
11. Governing Law
These terms are governed by the laws of the State of South Carolina, USA, without regard to conflict of laws principles.
